BUYER TERMS AND CONDITIONS

The www.epicommodities.com.au website (the 'website') is owned by Eyre Peninsula Integrated Commodities Pty Ltd ("we" or "us"). You are a purchaser of commodities who may wish to register with us. Your registration and access to the website is subject to these terms and conditions and any other terms and conditions or other statements contained on the website or otherwise provided to you by us. By registering with us you agree to be subject to these terms and conditions.

  1. REGISTRATION AS A BUYER

    1. A registered buyer will be entitled to extra services and privileges. EPIC may refuse to register you as a buyer or cancel your registration at any time at our absolute discretion.

  2. NO INVESTMENT ADVICE PROVIDED TO YOU

    1. Unless otherwise expressly stated to the contrary, information provided by EPIC, including that on the website, is not financial or investment advice.  Information provided does not take into account your particular investment objectives, financial situation or investment needs.
    2. Before purchasing commodities you should assess whether the purchase is appropriate to your particular investment objectives, financial situation and investment needs.  If you are unable to make this assessment yourself you should seek the assistance of a professional adviser.

  3. ENTERING INTO CONTRACTS WITH SELLERS

    1. Once a target* price has been matched and both buyer and grower agree to ‘deal’, a ‘Contract Trade Match Confirmation’ will be issued by EPIC.
    2. That contract will be subject to the GTA Trade Rules and/or your nominated standard terms and conditions (if any) and will be legal and binding from verbal acceptance to EPIC by you and the grower. The grower will receive confirmation of contract from both EPIC and the buyer.
    3. If a grower indicates an interest in an alternative payment product, EPIC will refer the grower direct to the buyer to explain their products, if that referral results in a contract being completed the buyer is to notify the EPIC office so that commission can be charged to the grower.
    4. Grower Target Prices are indicative not firm. It is the grower’s decision whether or not to accept a buyer’s bid/offer.

  4. USING THE WEBSITE

    1. You must comply with the Buyer's Instructions which set out how you use the website.

  5. WARRANTIES

    1. By registering as a buyer with us you represent and warrant that:

      1. You are able to pay all your debts, as and when, they become due and payable.
      2. You have adequate insurance arrangements in place for your activities as a buyer of commodities.
      3. You will advise EPIC of all policy changes immediately they occur. EPIC will endeavour to make sure that all information provided to the grower is current and correct to the best of our ability.
      4. EPIC holds no responsibility for information supplied to the grower on your behalf, where failure to notify EPIC of changes has occurred.
      5. You are registered with GTA and follow their Aust grain industry code of conduct and agree to their Trade rules, unless you have your own established specific ‘Terms of Trade’.  
      6. You will act at all times in good faith in your dealings with EPIC and growers “Contract trade match” to you by EPIC.
      7. You will comply with these terms and conditions. EPIC will give 14 days’ notice if terms and conditions should change, prior to implementing.

  6. DISCLAIMER AND LIMITATION OF LIABILITY

    1. To the maximum extent permitted by law, we will not be liable in any way for any loss or damage suffered by you including, without limitation, your use or access to EPIC’s services, including the website, our failure to provide services including the website, trading of commodities or any failure by a seller to honour a contractual obligation.
    2. Notwithstanding sub-clause 6.1 above, our liability will in no circumstances exceed the re-supply of the brokerage services or the payment of the cost of having the service supplied again.

  7. GENERAL CONDITIONS

    1. The GTA Trade and Dispute Resolution Rules (inc arbitration) are incorporated into these terms and conditions.
    2. These terms and conditions are governed by the law in force in the State of South Australia, and you irrevocably submit to the non-exclusive jurisdiction of the Courts of South Australia for determining any dispute concerning these terms and conditions.
