SELLER/GROWER TERMS AND CONDITIONS

The www.epicommodities.com.au website (the 'website') is owned by Eyre Peninsula Integrated Commodities Pty Ltd ("we" or "us"). You are a grower and/or seller of commodities ("you" or "seller") who wishes to register with us. Your registration and access to the website is subject to these terms and conditions and any other terms and conditions or other statements contained on the website or otherwise provided to you by us. By registering with us you agree to be subject to these terms and conditions.

  1. REGISTRATION AS A SELLER

    1. Before using the website you must register as a seller.  We may refuse to register you as a seller or cancel your registration at any time at our absolute discretion.  Although we may cancel your registration on any ground we decide, we will cancel your registration if you fail to honour a contract made between you and a buyer following a trade match by us.

  2. NO INVESTMENT ADVICE PROVIDED TO YOU

    1. Unless otherwise expressly stated to the contrary, information on the website is not financial or investment advice.  Information provided does not take into account your particular investment objectives, financial situation or investment needs.
    2. Before making an investment decision on the basis of the information on the website you should assess whether the information on the website is appropriate to your particular investment objectives, financial situation and investment needs.  If you are unable to make this assessment yourself you should seek the assistance of a professional adviser.

  3. ENTERING INTO CONTRACTS WITH BUYERS

    1. Before entering into a contract with a buyer you should read and understand the buyer’s trading terms and conditions.
    2. Once both buyer and seller agree to ‘deal’, a ‘Contract Trade Match’ will be issued by EPIC.
    3. The Contract will be under the terms and conditions of the GTA Trade Rules and/or the buyer's nominated standard terms and conditions (if any) and will be legal and binding from verbal acceptance to EPIC by the seller. The Seller will receive confirmation of contract from both EPIC and the buyer.

  4. USING THE WEBSITE

    1. You must comply with the Grower's Instructions which set out how you use the website.

  5. WARRANTIES

    1. By registering as a seller with us you represent and warrant that:

      1. There is no reason why we should not register you as a seller.
      2. You will act at all times in good faith in your dealings with us and buyers Contract trade matched’ to you by us.
      3. You will pay us a commission of 70 cents per tonne for all commodities that are contract trade matched to a buyer under your instruction by EPIC, payable 30 days from contract trade match date whether the commodity is delivered or not.
      4. You will comply with these terms and conditions and any other terms and conditions imposed by us from time to time.

  6. DISCLAIMER AND LIMITATION OF LIABILITY

    1. To the maximum extent permitted by law, we will not be liable in any way for any loss or damage suffered by you including, without limitation, your use or access to the website, our failure to provide the website or to comply with any or all of your instructions, trading of commodities through the website or any failure by a buyer to honour a contractual obligation.
    2. Notwithstanding clause 6.1 above, the limit of our liability will in no circumstances exceed the re-supply of the services or payment of the cost of having the service supplied again.

  7. GENERAL CONDITIONS

    1. The GTA Trade and Dispute Resolution Rules (inc arbitration) are incorporated into these terms and conditions.
    2. These terms and conditions are governed by the law in force in the State of South Australia, and you irrevocably submit to the non-exclusive jurisdiction of the Courts of South Australia for determining any dispute concerning the terms and conditions.
    3. These terms and conditions can be modified at any time by us and you agree to continue to be bound by these terms and conditions as modified.
